NVIDIA deals push risk to lenders; liabilities are estimates

NVIDIA's quarterly report, filed August 26, disclosed US$36 billion of "AI cloud agreements" in a regulatory filing for the first time. Our September issue argued that the buyer structure matters more than the revenue. The report's statement of purpose says the aim is for startups, model developers, enterprises, research institutions and sovereign customers all to be able to buy compute, so that buyers aren't reduced to the handful of cloud giants that are also building their own chips. The terms in the same document cut against reading the US$36 billion as a fixed commitment: cloud providers can unilaterally stop supplying NVIDIA and resell the capacity to a higher-bidding third party, and NVIDIA's committed amount shrinks as third parties take capacity over. On September 11, the semiconductor research firm SemiAnalysis estimated the contingent liability NVIDIA takes on for each 1GW of compute built under its three support tools: US$59 billion, US$25 billion and US$9.4 billion across the three tiers. The US$9.4 billion tier is SemiAnalysis's conjecture and can't be reconciled to filings, and SemiAnalysis also sells due-diligence services on this topic to lenders, meaning risk assessments for the banks and funds putting up the money (SecondSource issue, 2026-09-12). Our September reading: the risk sits nominally with NVIDIA but in substance passes tier by tier to lenders. When demand weakens, the first place it shows will be the commitments and guarantees table in the notes to NVIDIA's quarterly report, not GPU rental prices. The Broadcom guarantee in today's main-line item 1 shows a second supplier taking on the same kind of exposure. The next thing to watch is NVIDIA's quarterly report, due around the end of November, and how its AI cloud agreement amounts and guarantees table change. How we checked →

Concept illustration: a black cover on the left, lettered NVIDIA under a green logo, opens out into a three-panel fold-out sheet. On the sheet, a beige office building under a sign reading NVIDIA (with a small green logo) is linked by an orange-red cable to the left of two sockets on a tall black server rack in the middle, which stands under a sign reading CLOUD PROVIDER, while the rack's right socket has nothing plugged in and a matching building on the right under a sign reading THIRD PARTY has no cable attached.
